Our goal is to provide our members with a financial incentive to participate in research projects and focus groups that we may conduct for our clients. These Terms of Use contain the terms and conditions (the “Agreement”) governing your use of our website and your participation in various focus groups and other research projects that we may conduct. Your use of our Website constitutes your agreement to the terms and conditions in this Agreement. In addition, only users who expressly agree to the terms and conditions in this Agreement will be permitted to sign up with us and to participate in focus groups and other research projects, and to receive financial incentive for participating in those projects.

By using our Website, you represent that you agree with the terms and conditions in this Agreement and with our Privacy Policy. If you do not agree with any of the terms or conditions in this Agreement or in our Privacy Policy, please do not use our Website.

When you register via this website to take part in paid marketing research opportunities, your contact information is entered into our panel of participants. Based on the information you provide by filling out your Personal Profile, you may receive email invitations that contain a screener link to determine your eligibility for that particular research study. If you complete the screener successfully, you may receive a phone call from one of our marketing research recruiters, who will ask you some more questions. If you complete the screener but are not called, this means that the research segment you fall into, called a "quota," has already been filled. There is no guarantee that you will be selected for any particular study.

YOUR ABILITY TO PARTICIPATE IN ONLINE SURVEYS AND/OR IN-PERSON GROUPS WILL VARY DEPENDING ON THE REQUIREMENTS AND OBJECTIVES PROVIDED BY OUR CLIENTS. WE WILL REVIEW THE INFORMATION YOU PROVIDED UPON REGISTRATION TO SELECT PANEL MEMBERS WHO MEET THE CRITERIA AND/OR PROFILE REQUIRED FOR THE SPECIFIC RESEARCH PROJECT. IF YOU DO NOT MEET THE CRITERIA AND/OR PROFILE FOR THE SPECIFIC PROJECT, YOU WILL NOT BE SELECTED TO PARTICIPATE. YOU ACKNOWLEDGE AND AGREE THAT REGISTERING DOES NOT GUARANTEE THAT YOU WILL QUALIFY AND/OR BE SELECTED FOR ANY ONLINE SURVEYS OR IN-PERSON GROUPS, AND WE HAVE NO OBLIGATION TO PROVIDE YOU WITH SURVEY OR FOCUS GROUP OPPORTUNITIES.

REGISTRATION AND ACCOUNT SECURITY

In order to register, you must provide all required information in our enrollment survey, which includes personal information. You will also be asked to answer a series of profile-building questions that will help us determine if you are eligible for online surveys and in-person groups. You may only sign up for one registration or account with us. Creation of more than one unique profile will result in immediate removal from our participation panel. Registration is required to be eligible to participate in online surveys and in-person groups. There is no charge for signing up with us.

We do not knowingly reveal any personal information that is provided by you through our Website/mobile application to any third parties, except when requested to do so by a governmental agency having jurisdiction, or by a court of competent jurisdiction or other operation of law. We endeavor to keep all information provided by members using our online forms strictly confidential and secure, in an effort to prevent the unauthorized use of personal information. If you have not already done so, you should review our Privacy Policy.

By using our Website, you agree to provide and maintain on our records current and accurate personal information as indicated to you during our registration processes. If you provide any information which is inaccurate or outdated, or if we have reasonable grounds to question the truthfulness of the information provided, or if we determine that you have created multiple accounts, we reserve the right to suspend or terminate your account and refuse any and all current or future use of our Website (or any portion thereof). You also agree to promptly notify us of any unauthorized use of your username, password, other account information, or any other breach of security that you become aware of involving or related to our Website.

Intellectual Property

You acknowledge and agree that the Services may contain content or features ("Service Content") that are protected by copyright, patent, trademark, trade secret or other proprietary rights and laws. Except as expressly authorized by Confide Research, you agree not to modify, copy, frame, scrape, rent, lease, loan, sell, distribute or create derivative works based on the services or the Service Content, in whole or in part, except that the foregoing does not apply to your own User Content (as defined below) that you legally submit or upload to the services. You may not remove or alter any proprietary notices or marks on the services or any portion thereof. In connection with your use of the services you will not engage in or use any data mining, robots, scraping or similar data gathering or extraction methods. Any use of the services or the Service Content other than as specifically authorized herein is strictly prohibited. You agree not to copy, modify, create a derivative work of, reverse engineer, reverse assemble or otherwise attempt to discover any source code, sell, assign, sublicense, or otherwise transfer any right in the Software. Any rights not expressly granted herein are reserved by Confide Research.

Confide Research name and logos are trademarks and service marks of Confide Research. Other company, product, and service names and logos used and displayed via the services may be trademarks or service marks of their respective owners. Nothing in these Terms of Service or the services should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any of Confide Research Trademarks displayed on the services, without our prior written permission in each instance.

Content Transmitted

With respect to information you submit or upload to the services (collectively, "User Content"), you represent and warrant that you own all right, title and interest in and to such User Content, including, without limitation, all copyright and rights of publicity contained therein. By inserting any User Content you hereby grant and will grant Confide Research and our affiliated companies a nonexclusive, worldwide, royalty free, fully paid up, transferable, sublicensable, perpetual, irrevocable license to copy, display, upload, perform, distribute, store, modify and otherwise use your User Content in connection with the operation of only the services.

Dispute Resolution

Any controversy or claim arising out of or relating to these Terms of Service or the breach thereof shall be settled by arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules (including the Optional Rules for Emergency Measures of Protection), and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. The arbitration proceedings shall be conducted before one (1) neutral arbitrator selected by the American Arbitration Association. The place of arbitration shall be Dallas, Texas. Either party may apply to the arbitrator seeking injunctive relief until the arbitration award is rendered or the controversy is otherwise resolved. Either party may, without waiving any remedy under these Terms of Service, seek from any court having jurisdiction any interim or provisional relief that is necessary to protect the rights or property of that party, pending the establishment of the arbitral tribunal (or pending the arbitral tribunal’s determination of the merits of the controversy).

Modification

Confide Research reserves the right to modify or discontinue, temporarily or permanently, the services (or any part thereof) with or without notice. You agree that Confide Research will not be liable to you or to any third party for any modification, suspension or discontinuance of the services.

COMPENSATION

Compensation for properly completing online surveys and complete participation in-person groups (including any related or follow-up telephone and/or online surveys or questionnaires) will vary depending upon the length of time involved and nature of the online survey or focus group, and you acknowledge that you may not receive compensation if you fail to timely complete a survey, fully participate in a focus group, or answer any required follow-up questions or surveys.

Payment is based on satisfactory participation. You acknowledge and understand that you will be responsible for the payment of any taxes that may be due as a result of payments that you receive from us, and that we will issue an IRS form 1099 to any member who receives $600.00 (or the then current minimum amount established by the IRS for 1099 reporting) or more in payments from us in a year. You agree to provide us with a completed form W-9: Request for Taxpayer Identification Number and Certification, containing all information necessary, including without limitation a social security number or other federal tax identification number, that we may withhold payments to you until such time as you provide us with the information we request from you, and that you will not be eligible to participate in any further marketing research studies with Confide until we receive the needed information. You acknowledge and agree that you are not in any manner considered to be an employee of Confide. You are compensated according to the specifications of a given study. Compensation is made for that particular study only and is not contractual in nature. You may terminate your registration at any time.

REFERRALS AND UNSOLICITED E-MAIL POLICY

We encourage you to spread the word about registration to your family and friends who you think may be interested. However, we prohibit the use of any e-mail referral service or bulk e-mailing service when sending messages encouraging people to sign up for registration with us, and under no circumstances will we be responsible for any consequences arising from your sending of unsolicited e-mails to any person or entity. We do not condone the sending of e-mails in violation of the CAN-SPAM Act of 2003. You acknowledge and agree that we may send you e-mails, text messages, and/or contact you by telephone. Other e-mails may invite you to participate in an online survey or research group. You may be contacted by telephone to verify your eligibility for participation in a research study. By agreeing to receive e-mails and to be contacted by text or telephone, you are not necessarily agreeing to participate in every online survey or research group.

If you wish to discontinue receiving e-mails, text messages, mobile application push notifications, and/or telephone calls from us, you may terminate your registration at any time pursuant to the terms of this Agreement.

You are also providing express written consent to be contacted to receive recurring text messages at the phone number(s) provided, including SMS and MMS, about the services you inquired about.

Program Description: Confide Research operates a campaign that sends opted in subscribers information about upcoming market research studies.

When you opt-in to receive SMS and MMS notifications, you are also providing express written consent to be contacted to receive recurring messages at the phone number(s) provided. Message and data rates may apply. Message frequency will vary. Carriers are not liable for delayed or undelivered messages.

You can cancel this service at any time. Just text "STOP". After you send the message "STOP" to us, we will send you a reply message to confirm that you have been unsubscribed. CONFIDENTIALITY

You acknowledge that you may be permitted to participate in online surveys and/or research groups' issues, concepts and products which may not have been disclosed to the public (collectively, the “Confidential Information”). You agree to maintain the confidentiality of all Confidential Information disclosed to you through online surveys and focus groups, and to hold Confidential Information in strict confidence. You further agree to refrain from disclosing Confidential Information to any third party, and to refrain from using Confidential Information for any purpose. The obligation to maintain the confidentiality of Confidential Information shall survive termination and continue for so long as the Confidential Information remains confidential through no fault of Confide or its clients.

TERMINATION OF REGISTRATION

You agree and acknowledge that we shall have the right to immediately terminate your registration if we determine that: (i) you have violated any of the restrictions in this Agreement; (ii) you have provided us with any false information; (iii) you have not completed all surveys truthfully and accurately; (iv) you have failed to safeguard your username and password; (v) you have been deemed disruptive and/or non-responsive while participating in an research group or individual interview; (vi) a Confide client has indicated that you are not a suitable candidate for their research group, or (vii) you have allowed a third party to use your username and password or have otherwise facilitated a third party’s completion of a survey on your behalf.

TERMINATION OF REGISTRATION IS NEVER BASED ON RACE, NATIONAL ORIGIN, GENDER, RELIGION, OR SEXUAL ORIENTATION.

You are free to terminate your registration at any time and may do so by sending an e-mail to molly@confideresearch.com containing your registration account information and the request that we terminate your registration.

Thank you for your interest and willingness to participate in our studies. We strive to collect quality and robust data through research that will improve everyday products and services for consumers like you.

It has come to our attention that there are some individuals who provide false data, refer to themselves as ineligible individuals, and/or create multiple entries so that they may receive incentives. This diminishes our ability to accurately collect data. Legally, this behavior constitutes fraud.

We hope that similar events will not occur in future efforts. It is only through the honesty, integrity, and willingness of participants that we can help our clients better their products and services for you.

Moving forward, we will require each participant to verify their name and location if selected to participate in a study. We will report all fraudulent activity to the Internet Crime Complaint Center - a section of the FBI that deals with Internet crimes, as well as the office of the Inspector General.
